AI Services Disclaimer

1. Nature of AI Analysis

Framework NIL ("Framework," "we," "us," or "our") provides AI-powered contract analysis tools branded as "Framework AI Scan" (formerly "Framework AI Assist") and other AI-powered features (collectively, "AI Services"). These AI Services include:

• Automated contract document scanning and review
• AI-generated observation scores and assessments
• Generation of findings and observations regarding NIL contract terms
• Identification of potential items for professional review
• AI-generated considerations and observations

AI Services are tools designed to assist, not replace, professional legal review. They are provided for general informational and educational purposes only.

2. Not Legal Advice

You expressly acknowledge and agree that:

• Framework AI Scan is not a lawyer and does not have a law license
• AI Services cannot represent you in legal matters
• No attorney-client, fiduciary, or professional services relationship is created through use of AI Services
• AI outputs, findings, scores, and observations should never be relied upon as a substitute for consultation with a licensed attorney
• You should always consult with qualified legal counsel before entering into any NIL agreement

3. AI Limitations and Errors

Artificial intelligence systems, including those used by Framework AI Scan, have significant inherent limitations. You acknowledge that AI may:

• "Hallucinate" — generate plausible but incorrect or fabricated information
• Miss important issues — fail to identify critical contract terms, risks, or legal concerns
• Misinterpret context — fail to understand the full context of your specific situation
• Produce inaccurate analysis — provide analysis that is incomplete, misleading, or erroneous
• Be inconsistent — produce different results for similar documents
• Lack current information — may not reflect the most recent laws, regulations, or enforcement priorities
• Miss jurisdiction-specific requirements — may not account for state-specific NIL laws or institutional policies

Framework makes no representations or warranties regarding the accuracy, completeness, reliability, timeliness, suitability, or correctness of any AI-generated content.

4. Risk Scores Are Estimates

"Observation scores," "risk assessments," and similar quantitative outputs generated by AI Services are algorithmic estimates based on pattern recognition. These scores:

• Are NOT professional assessments of legal risk or contract adequacy
• Do NOT guarantee that a contract is safe, dangerous, fair, or enforceable
• Should NOT be the basis for contract decisions
• May differ significantly from professional legal analysis
• Have no confidence interval — the precision implied by a numerical score does not exist

A "low" score does NOT mean a contract is safe to sign. A "high" score does NOT mean a contract should be rejected. Always obtain professional review regardless of AI-generated scores.

5. No Reliance

You agree that you will NOT rely on AI Services to:

• Make decisions about signing, rejecting, or modifying contracts
• Determine compliance with any law, rule, or regulation
• Assess the legal adequacy of any agreement or document
• Replace professional legal, tax, or financial advice
• Substitute for your institution's compliance review process
• Evaluate the trustworthiness or legitimacy of any business or individual

Any reliance on AI-generated content is at your sole risk. Framework expressly disclaims any liability for damages, losses, or consequences arising from reliance on AI Services.

6. Human Review Required

You MUST obtain review by a licensed attorney before signing, rejecting, or taking any action regarding contracts.

AI Services are designed as preliminary informational tools to help you identify items that may warrant further professional review. They are not a replacement for professional legal counsel. Your attorney can:

• Review the full context of your specific situation
• Identify issues the AI may have missed
• Provide advice specific to your jurisdiction and circumstances
• Negotiate contract terms on your behalf
• Explain the legal implications of contract provisions

Your state bar association can provide attorney referrals. Many attorneys offer free or low-cost initial consultations for student-athletes.

7. Minor Users

For users who are minors (under 18 years of age), the following additional provisions apply:

• Parental/Guardian Review Required: If you are a minor, you acknowledge that your parent or legal guardian must review any AI-generated analysis before you take action based on such analysis.
• No Substitute for Adult Guidance: AI Services are not a substitute for guidance from parents, guardians, coaches, school administrators, or other trusted adults.
• Special Legal Considerations: Minors face special legal considerations regarding contract capacity and enforceability. AI Services cannot assess whether a minor has legal capacity to enter into a contract.
• Guardian Acknowledgment: Parents and guardians of minor users acknowledge that they have reviewed this AI Services Disclaimer and accept it on behalf of the minor.

8. Third-Party AI Providers

Documents you upload for AI analysis may be transmitted to and processed by third-party AI providers, including:

• Google (Gemini AI)
• Anthropic (Claude AI)
• Other AI service providers as we may use

By uploading documents to AI Services, you consent to such processing. These providers process your documents under their respective privacy policies and terms of service. Documents are transmitted using encryption and are processed for the purpose of generating analysis results.

9. Limitation of Liability

This limitation applies regardless of:

• The legal theory upon which any claim is based
• Whether Framework was advised of the possibility of such damages
• Whether such damages were foreseeable

You agree to indemnify, defend, and hold harmless Framework and its affiliates from any claims, damages, or losses arising from your use of or reliance on AI Services, including claims that AI analysis constituted legal advice or that you relied on AI analysis to your detriment.

10. Acknowledgment

By using Framework AI Scan or any other AI-powered features, you acknowledge that:

• You have read, understood, and agree to this AI Services Disclaimer
• AI Services are informational tools only and not legal advice
• You are solely responsible for all decisions regarding NIL contracts
• You will obtain independent professional review before acting on AI outputs
• You accept the limitations and disclaimers set forth herein
